Terms of Service

Welcome to StopNic. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and StopNic (“we,” “our,” or “us”) governing your use of the StopNic mobile application (the “App”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Acceptance of Terms

By accessing or using the App, you confirm that you: (a) are at least 18 years old; (b) have the legal capacity to enter into a binding agreement; and (c) agree to comply with these Terms and all applicable laws and regulations. The App is intended for adults only and is not directed to anyone under 18. If you are under 18, you may not use the App.

2. Description of Service

StopNic is a nicotine cessation support application that provides:

  • Personalized quit plans based on your smoking profile and addiction archetype
  • AI-powered SOS chatbot for craving support
  • Educational curriculum with daily lessons and theory modules
  • Progress tracking, mood logging, and streak monitoring
  • Community features including text posts, comments, reactions, and polls
  • Push notifications for support, milestones, and reminders

3. Medical Disclaimer

IMPORTANT: StopNic is not a medical device and does not provide medical advice, diagnosis, or treatment. The App is designed as a behavioral support tool and is for informational and motivational purposes only.

  • Always consult a qualified healthcare provider before making health-related decisions or changing any medical treatment.
  • If you experience severe withdrawal symptoms, chest pain, difficulty breathing, or any medical emergency, call emergency services immediately.
  • Success rates and statistics referenced in the App are based on general research and may not reflect individual outcomes. Results vary from person to person.
  • AI-generated responses are produced by artificial intelligence and may not always be accurate, complete, or appropriate for your specific situation. AI content should not be relied upon as professional medical, psychological, or health advice.
  • The App is not a substitute for professional smoking cessation programs, nicotine replacement therapy, prescription medications, or counseling.

4. Account Registration

Certain features require account creation. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information as needed
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may not create multiple accounts, share your account credentials, or transfer your account to another person. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions and Payments

5.1 Subscription Plans

  • Monthly Plan: $9.99 per month
  • Annual Plan: $29.99 per year (includes a 3-day free trial)

5.2 Free Trial

The 3-day free trial is available with the Annual plan only and is limited to one trial per Apple ID. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid annual subscription at the then-current price.

5.3 Billing and Renewal

  • Payment is charged to your Apple ID account at confirmation of purchase.
  • Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription price.
  • Price changes will be communicated in advance; continued use after a price change constitutes acceptance.

5.4 Cancellation

You may cancel your subscription at any time through your Apple ID Account Settings > Subscriptions. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the paid period. No partial refunds are issued for unused portions of a billing period.

5.5 Refunds

All purchases are processed by Apple through the App Store. Refunds are handled solely by Apple in accordance with the Apple Media Services Terms and Conditions, and are granted at Apple’s discretion or where required by applicable law. We do not directly process payments and cannot issue refunds ourselves. To request a refund, visit reportaproblem.apple.com or use your Apple ID Account Settings. If you have any concerns about your subscription, you are welcome to contact us at legal@stopnic.app and we will do our best to assist.

6. Acceptable Use

You agree not to:

  • Use the App for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorized access to any part of the App, its servers, or any connected systems
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Interfere with or disrupt the integrity or performance of the App
  • Use automated scripts, bots, or scrapers to access the App
  • Circumvent any content-filtering, rate-limiting, or security measures
  • Use the App to send spam, unsolicited messages, or promotional content
  • Create multiple accounts or impersonate any person or entity
  • Share your account credentials with any third party
  • Use the App in any manner that could damage, disable, or impair our infrastructure

7. Community Guidelines

When using community features (posts, comments, reactions, polls), you agree to treat all users with respect and courtesy. The following content and behavior are strictly prohibited:

7.1 Prohibited Content

  • Harassment, bullying, threats, intimidation, or hate speech directed at any individual or group
  • Content promoting nicotine use, smoking, vaping, or substance abuse
  • Harmful, misleading, or dangerous health advice
  • Sexually explicit, pornographic, or obscene material
  • Content promoting self-harm, suicide, or violence
  • Personal information of others without their consent (doxxing)
  • Spam, advertising, solicitation, or commercial promotion
  • Misinformation or deliberately false claims about health or medical topics
  • Content that infringes on intellectual property rights of others
  • Discriminatory content based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic

7.2 Enforcement

We reserve the right to, at our sole discretion:

  • Remove any content that violates these guidelines without prior notice
  • Issue warnings, temporary suspensions, or permanent bans to violating accounts
  • Report illegal content or activity to appropriate law enforcement authorities
  • Cooperate with law enforcement investigations as required by law

Content moderation decisions are at our sole discretion and are final. Repeated violations will result in permanent account termination.

8. Intellectual Property

All content in the App, including but not limited to text, graphics, logos, icons, images, audio clips, educational materials, algorithms, software, and the overall design and compilation thereof, is the exclusive property of StopNic or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms. You may not:

  • Reproduce, distribute, or create derivative works from any App content
  • Use any App content for commercial purposes without our prior written consent
  • Remove or alter any copyright, trademark, or other proprietary notices

9. User Content

You retain ownership of content you create within the App (community posts, notes, reflections, journal entries). By posting content in community features, you grant StopNic a non-exclusive, worldwide, royalty-free, sublicensable license to display, distribute, and reproduce that content within the App for the purpose of operating and improving the service.

You represent and warrant that you own or have the necessary rights to all content you post and that your content does not violate any third-party rights or applicable laws.

10. Copyright Infringement (DMCA)

If you believe that content on the App infringes your copyright, please send a written notice to legal@stopnic.app containing:

  • A description of the copyrighted work you claim has been infringed
  • A description of the material you claim is infringing and its location in the App
  • Your contact information (name, address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf
  • Your physical or electronic signature

We will respond to valid DMCA notices in accordance with the Digital Millennium Copyright Act and may remove or disable access to the allegedly infringing material.

11. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • STOPNIC SHALL NOT BE LIABLE for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the App.
  • OUR TOTAL AGGREGATE LIABILITY to you for all claims arising from or related to the App shall not exceed the greater of: (a) the amount you paid to StopNic in the twelve (12) months preceding the claim; or (b) fifty US dollars ($50.00).
  • We do not guarantee that the App will help you quit nicotine or achieve any particular health outcome. Individual results depend on many factors including personal commitment, health conditions, and level of addiction.
  • We are not liable for any actions taken or not taken based on AI-generated content or recommendations.

13. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Indemnification

You agree to indemnify, defend, and hold harmless StopNic and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit, post, or transmit through the App.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@stopnic.app and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved through informal negotiation.

15.2 Binding Arbitration

If the dispute cannot be resolved informally, you and StopNic agree that any dispute, controversy, or claim arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Wilmington, Delaware (or, at your election, your county of residence). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND STOPNIC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

15.4 Exceptions

Nothing in this section prevents either party from: (a) seeking injunctive or other equitable relief in court for intellectual property infringement or misappropriation; (b) filing claims in small claims court if the claim qualifies; or (c) pursuing claims that cannot be subject to arbitration under applicable law.

15.5 Limitation Period

Any claim or cause of action arising out of or related to your use of the App or these Terms must be filed within one (1) year after such claim or cause of action arose. Failure to file within this period constitutes a permanent waiver of such claim.

16. Apple App Store Terms

The following additional terms apply with respect to the Apple App Store:

  • These Terms are between you and StopNic only, and not with Apple Inc. (“Apple”). StopNic, not Apple, is solely responsible for the App and its content.
  • The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.
  • Apple has no obligation to furnish any maintenance or support services with respect to the App.
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
  • In the event of any third-party claim that the App or your possession and use of the App infringes a third party’s intellectual property rights, StopNic, not Apple, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17. Force Majeure

StopNic shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet or telecommunications failures, cyberattacks, or third-party service provider outages.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms in the App with a new “Last Updated” date and, where appropriate, sending a push notification or in-app notice. Your continued use of the App after such changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.

19. Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. You may stop using the App at any time. Upon termination:

  • Your license to use the App immediately terminates
  • You must cease all use of the App
  • We may delete your account data in accordance with our Privacy Policy and data retention schedule
  • Sections that by their nature should survive termination (including Limitation of Liability, Disclaimer, Indemnification, Dispute Resolution, and Governing Law) will survive

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration clause above, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in such courts.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and StopNic regarding the App and supersede all prior agreements, understandings, and communications, whether written or oral.

21.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

21.3 Waiver

The failure of StopNic to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by StopNic.

21.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

21.5 Notices

We may provide notices to you through the App, via push notification, or to the email address associated with your account. You may provide notices to us by emailing legal@stopnic.app. Notices are deemed received upon delivery for electronic communications.
